MUTUAL NON-DISCLOSURE AGREEMENT
Between: OF.MediaTech ("MediaTraining.AI"), Cork, Ireland

1. Purpose. The parties wish to exchange confidential information in connection with the Customer's use of the MediaTraining.AI media-training platform and services.
2. Confidential Information. "Confidential Information" means any non-public information disclosed by one party to the other, in any form, including the Customer's uploaded materials, interview recordings, transcripts, reports and business information, and MediaTraining.AI's platform, security and commercial information.
3. Obligations. Each party will: (a) keep the other's Confidential Information strictly confidential; (b) use it only for the Purpose; (c) disclose it only to personnel and sub-processors who need it and are bound by equivalent confidentiality obligations; and (d) protect it with at least reasonable care.
4. Exclusions. Confidential Information does not include information that is or becomes public without breach, was lawfully known before disclosure, is independently developed, or is rightfully received from a third party.
5. Required disclosure. A party may disclose Confidential Information where required by law or a competent authority, giving prior notice where lawful.
6. Term. The confidentiality obligations apply during the engagement and for [3] years after it ends (indefinitely for trade secrets).
7. Return / destruction. On request or termination, each party will return or destroy the other's Confidential Information, subject to legal retention requirements and routine backups.
8. No licence. No intellectual-property rights are granted by disclosure.
9. Governing law. This NDA is governed by the laws of Ireland, without prejudice to mandatory consumer and data-protection law.
